Agreement to Terms

These Terms of Service ("Terms") govern your use of AccordFlow's contract management platform and related services (the "Services") provided by AccordFlow, Inc. ("AccordFlow," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

Account Terms

Account Creation

• You must be at least 18 years old to create an account
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account
• One person or legal entity may maintain only one free account

Account Responsibilities

• You are responsible for all activity that occurs under your account
• You must keep your contact information current and accurate
• You may not transfer your account to another party without our consent
• Organization accounts must designate authorized administrators

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our Services to send spam or unsolicited communications
• Interfere with or disrupt the integrity or performance of our Services
• Create false accounts or impersonate others
• Use automated means to access our Services without permission
• Reverse engineer, decompile, or disassemble our software

User Content

Your Rights

You retain ownership of all content you create, upload, or store using our Services ("User Content"). You are solely responsible for your User Content and the consequences of posting or publishing it.

License to AccordFlow

By using our Services, you grant AccordFlow a worldwide, non-exclusive, royalty-free license to use, copy, modify, and distribute your User Content solely for the purpose of providing and improving our Services.

Content Standards

Your User Content must not contain illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable material. We reserve the right to remove any User Content that violates these standards.

Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy.

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

Payment Terms

Billing

• Paid plans are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in these Terms
• You authorize us to charge your payment method for all fees
• You are responsible for providing current and accurate billing information

Fee Changes

We may change our fees with 30 days' notice. Fee changes will not affect your current billing period.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial months or years, except as required by law.

Intellectual Property

The Services and all related technology, including software, trademarks, and other intellectual property, are owned by AccordFlow and our licensors. We grant you a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.

You may not copy, modify, distribute, or create derivative works of our Services without our express written permission.

Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to our Services immediately if you violate these Terms or for any other reason in our sole discretion.

Upon termination, your right to use our Services will cease immediately. We may delete your account and data, though we may retain some information as required by law or for legitimate business purposes.

Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure. You use our Services at your own risk.

Limitation of Liability

To the maximum extent permitted by law, AccordFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability to you for all damages shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold AccordFlow harmless from any claims, damages, losses, and expenses (including legal fees) arising from your use of our Services, your User Content, or your violation of these Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising from these Terms or our Services will be resolved in the state and federal courts located in New York County, New York.

For any dispute with a total claim value under $10,000, you agree to resolve the dispute through binding arbitration administered by the American Arbitration Association.

Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of our Services after such changes constitutes acceptance of the new Terms.
